1. Who we are

Scrap.io is operated by GH CONSULTANCY DEV LLP, a limited liability partnership registered in England and Wales under number OC442871, whose registered office is at 32 Kinburn Street, London, SE16 6DW, United Kingdom ("Scrap.io", "we", "us"). You can reach us at [email protected]. Our representative in the European Union under Article 37 of the Data Act is Prighter EU Rep GmbH, Schellinggasse 3/10, 1010 Vienna, Austria, which you can contact through https://app.prighter.com/portal/15604909101.

These Terms and Conditions (the "Terms") govern your access to and use of the Scrap.io website, application, API, MCP server and browser extension (together, the "Service"). You accept these Terms when you create your account, by ticking the acceptance box or, if you sign up with a social account, by continuing after the notice shown under the social sign-up buttons. If your account was created before this version, you accept it by continuing to use the Service after we have notified it to you. If you use the browser extension without an account, you accept these Terms by installing it. Each version of the Terms is dated.

2. A service for professionals

The Service is designed for and offered to businesses and professionals only. By accepting these Terms, you confirm that you are acting for purposes relating to your trade, business, craft or profession, and not as a consumer. If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to bind it to these Terms, and "you" refers to that organisation.

3. The Service

Scrap.io gives access to information about businesses listed in public online directories and maps, completed with contact details that we collect from those businesses' public websites (such as email addresses and social media links). The Service lets you search that information, export it, retrieve it through the API or the MCP server, look up a business from an identifier, and enrich files you upload with matching business information.

In these Terms, the "Data" means the business information made available to you through the Service, and a "business record" means the Data about one business establishment. A business with several establishments has several business records.

The features and the number of credits available to you depend on your plan or pass, as described on our website at the time of purchase. Reasonable use limits apply (section 5).

4. Account

You must provide accurate information when you create your account and keep it up to date. Your employees, and the contractors who work for you, may use your account under your responsibility; you must not share it with anyone else (section 11). You are responsible for keeping your login details and API tokens confidential and for all activity carried out through your account. Tell us promptly at [email protected] if you believe your account has been compromised.

5. Plans, passes, credits and one-off orders

Plans are subscriptions billed monthly or yearly. When we offer them, passes are one-off purchases that give access to the Service for 7 days from their activation, and must be activated within one year of purchase. A pass that is not activated within that year expires without refund.

Credits. Each business record included in an export, or returned by the API, the MCP server or a file enrichment, consumes one credit, whether or not you download it. Searches do not consume credits. Every search counts against the search limit of your plan or pass: in the application, each page of results counts as one search; through the API or the MCP server, only the first page of each search counts. Credits included in a plan are renewed each month, including on yearly plans, and do not roll over to the following month unless your plan states otherwise. Credits included in a pass are valid for the duration of the pass. Unused credits have no cash value and are not refunded (see section 9).

Reasonable use. Reasonable use limits apply to searches and exports. We may suspend automated or abusive use that exceeds them.

One-off orders. Custom extractions and other orders made on a quote are paid in advance and delivered as a file. They are non-refundable (section 9). The accepted quote prevails over these Terms where they conflict, and sections 11 to 16 apply to the Data delivered.

6. Free trial

Some plans include a free trial (currently 7 days on the monthly Basic plan). Each organisation may use one trial only. You must register a valid payment card to start a trial (section 7). The trial has reduced limits. Unless you cancel before the end of the trial, your subscription starts automatically and your card is charged the plan price at the end of the trial.

7. Billing, renewal and failed payments

Prices are shown in US dollars or euros, exclusive of taxes. If your business is established in the European Union, you must provide a valid VAT number, and you account for VAT under the reverse charge.

When you register a payment card, we place a temporary authorisation of 1 US dollar or 1 euro, in the currency of your account, on the card and then release it. Your bank may ask you to confirm the card.

Your subscription renews automatically at the end of each billing period, and we charge the card registered on your account for the next period. You authorise us to charge that card, and if the charge fails, any other valid card registered on your account.

If a renewal payment fails, your subscription is suspended. We may retry the payment several times and notify you by email. You can pay the invoice at any time from your account. If the invoice is still unpaid at the end of the grace period (currently 22 days from the renewal date), your subscription is cancelled.

When you move to a plan with a higher price per billing period, the change applies immediately, and we refund, pro rata of the days left, the amount you paid for your current period, if this refund exceeds 5 US dollars or 5 euros. Any other change of plan applies at the end of your current period, or immediately during a trial.

We may change our prices. We notify you of a price change at least 30 days before the renewal from which it applies, and you may cancel before it applies.

8. Cancellation and pause

You can cancel your subscription from your account settings, once any scheduled pause or change of plan has been revoked, or at any time by writing to [email protected] from the email address of your account. Cancellation takes effect at the end of your current billing period or trial, and you keep access to the Service until then. Cancellation does not give rise to any refund for the current period. If your subscription is already suspended for non-payment, cancellation takes effect immediately.

Where your account settings offer it, you can also pause your subscription for 1, 2 or 3 months. A pause is offered only if your subscription is billed monthly on a plan that we still offer, is not in its trial, has no unpaid invoice, and has no cancellation, pause or change of plan already scheduled. The pause starts at the end of your current billing period. You are not charged during the pause, and your data is kept. At the end of the pause, your subscription resumes automatically and your card is charged for the new period. If you cancel during a pause, cancellation takes effect immediately and section 10 applies.

9. Refunds

Payments are non-refundable, except in the cases listed in this section. We may, at our sole discretion, grant a full or partial refund if you ask for one in writing at [email protected] from the email address of your account. Such a decision concerns only the payment for which it is made and gives you no right to a refund in the future. Unused credits have no cash value.

These Terms provide for a refund only in the following cases, under the conditions set out in the section concerned: the unused part of your period when you move to a plan with a higher price (section 7); the amount you prepaid for the period after termination when you terminate because you refuse a material change to these Terms or because we removed a main feature of your plan, or when we terminate without cause (section 17); and the amount you prepaid for the period after termination when you terminate after an unresolved objection to a new sub-processor (section 6.2 of the Data Processing Agreement).

This section does not exclude any liability that we cannot exclude under applicable law (sections 16 and 18).

10. Deletion of your data when your subscription ends

When your subscription is cancelled and you hold no active pass, your exports, your file enrichments and your exclusion lists are deleted from your account. Download anything you want to keep before your subscription ends. For 30 days after your subscription ends, unless we closed your account for a breach of section 11, you can ask us at [email protected], from the email address of your account, for the files of the exports removed from your account at that time, and we send them to you free of charge; your file enrichments and exclusion lists, however, are deleted at that time and cannot be recovered. The files of exports removed from your account are kept on our servers for up to 3 years and then deleted. You can also ask us at any time to delete your file enrichments and exclusion lists.

11. Your use of the data

You may use the Data for any lawful business purpose, including to contact prospective business customers, and you may pass the Data on or resell it, in any form and under your own brand, to third parties for their own lawful business purposes. If you do, you are responsible for each recipient's use of the Data as if it were your own, you must impose on each recipient the restrictions and duties of this section, including towards its own recipients, and you must be able to tell us who received the Data so that we can pass on objections.

You are solely responsible for how you use the Data. In particular, you are responsible for complying with data protection laws (including the UK GDPR and the EU GDPR), laws on electronic marketing and unsolicited communications (such as the UK Privacy and Electronic Communications Regulations, the EU ePrivacy rules and the US CAN-SPAM Act), and any other law that applies to your prospecting. When you use the Data for your own purposes, you act as an independent controller of it.

You must:

  • tell the people whose personal data you use where you obtained it, at the latest when you first contact them;
  • when we notify you that a person has objected to the use of their data, stop using that data, and have your recipients stop using it, within 30 days of our notification.

We give your identity to a person who asks us who received their data.

You must not:

  • use the Data to send spam, to harass anyone, or for any unlawful, fraudulent or discriminatory purpose;
  • contact a person who has objected to receiving your communications;
  • circumvent the limits of the Service, share access to your account with anyone other than your employees and the contractors who work for you (section 4), or access the Service through automated means other than the API and MCP server we provide;
  • reverse engineer, overload or attempt to gain unauthorised access to the Service.

If you breach this section, we may suspend or close your account immediately, without refund. If we consider the breach minor, we first warn you by email and give you 7 days to remedy it. If you do not remedy it within that period, or if you commit it again, we may suspend or close your account, without refund. We alone decide whether a breach is minor. Sending spam, an unlawful use of the Data, a fraud, sharing access to your account with anyone else and an attack on the Service are never minor.

12. Intellectual property and licence

The Service, the Scrap.io brand and the Scrap.io database belong to Scrap.io, including the database right in the database. These Terms do not transfer any of these rights to you.

We grant you a non-exclusive licence, with no time limit, to use the business records delivered to you, within the limits of section 11. This licence ends if we close your account for a breach of section 11 or, after your account has closed, when we notify you of a breach of section 11.

You must not extract or reuse a substantial part of the database other than through the Service and within the limits of your plan or pass. This does not restrict your use of the business records delivered to you under the licence above.

13. Accuracy of the data

We select the business records delivered to you by applying the search criteria you choose to our database as it stands when the results are generated.

The Data comes from public sources that change constantly. We provide it "as is" and "as available". We do not guarantee that it is accurate, complete, current or fit for a particular purpose, nor that a given business, email address or phone number is still active. You are responsible for checking the Data before relying on it. All warranties, conditions and other terms implied by statute or common law are excluded to the fullest extent permitted by law.

14. Files you upload

When you upload a file for enrichment, you remain responsible for its content and confirm that you have the right to provide it to us. We process the personal data it contains on your behalf, under our Data Processing Agreement, which forms part of these Terms.

15. Indemnity

You will indemnify us against any claim brought against us by a third party because of your breach of these Terms or of the law, and against the reasonable costs that the claim causes us, including reasonable legal fees. We will tell you about the claim promptly. You will conduct its defence, and you will not settle it in a way that binds us without our consent.

16. Limitation of liability

Our total liability to you for all claims under or in connection with these Terms, including the Data Processing Agreement, whatever the cause, is limited to the greater of the amounts you paid us in the 12 months preceding the first event giving rise to a claim and 100 euros. This single limit applies to our liability under the Data Processing Agreement, except where the law does not allow it.

We are not liable for any indirect or consequential loss, or for any loss of profit, revenue, business, customers, goodwill or anticipated savings, or for any loss or corruption of data.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.

17. Availability, changes and termination

We do not guarantee that the Service will be uninterrupted or error free. We may change, add or remove features. If we remove a main feature of your plan (search, export, the API, the MCP server or file enrichment) without replacing it with an equivalent feature, you may terminate your subscription with immediate effect by writing to us within 30 days after the removal, and we refund the amount you prepaid for the period after termination.

We may update these Terms. A material change is a change that significantly reduces your rights or significantly increases your obligations, such as a change to sections 9, 16 or 17. We notify you of a material change by email at least 30 days before it applies. Any other change applies from the date of the new version. If you do not accept a material change, you may terminate your subscription with immediate effect before it applies, and we refund the amount you prepaid for the period after termination.

We may terminate your subscription without giving a reason, by notifying you by email at least 30 days in advance. In that case, we refund the amount you prepaid for the period after termination. We may suspend your access immediately if an authority requires it, if your account creates a security risk for the Service, or if an invoice is unpaid (section 7). We may also suspend your account and cancel your subscription immediately if a payment from your account is refused as fraudulent, and suspend an account that our automated checks link to other accounts used to circumvent the limits of the Service. A suspension under section 5 or this section gives no right to any refund or credit.

18. Consumers

The Service is not intended for consumers. If, despite section 2, you are a consumer, nothing in these Terms affects the mandatory rights you have under the law of your country of residence, and section 19 does not prevent you from bringing proceedings before the courts of that country.

19. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Except where you are a consumer (section 18), the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them. Before starting any proceedings, please contact us at [email protected] so that we can try to resolve the matter.

20. Miscellaneous

Entire agreement. These Terms, the Data Processing Agreement, the description of your plan or pass on our website at the time of purchase and, if you take part in our affiliate programme, the Affiliate Terms form the entire agreement between you and us about the Service. If that description conflicts with these Terms, these Terms prevail. Our Privacy Policy is provided for information and is not part of that agreement. You confirm that you have not relied on any statement or promise that is not set out in these documents. If you have signed a contract with us or accepted a quote from us, it prevails over these Terms where they conflict.

Language. These Terms and the Data Processing Agreement are written in English. Their French versions are translations, and the English versions prevail if they differ.

Transfer. You may not transfer your rights or obligations under these Terms without our consent. We may transfer or novate these Terms to an affiliated company or to the buyer of all or part of our business, and you agree to this in advance.

Notices. We send notices to the email address of your account, and you send them to [email protected]. A notice we send by email is deemed received when it is sent. A notice you send by email is deemed received on the next business day in England after it is sent.

Force majeure. Neither party is liable for a delay or failure caused by an event beyond its reasonable control. This does not apply to your payment obligations.

Interpretation. Headings do not affect the meaning of these Terms. "Including" and "such as" mean "including without limitation".

Survival. Sections 11, 12, 13, 15, 16, 19 and 20 continue to apply after these Terms end.

Third parties. No one other than you and us may enforce these Terms, and the Contracts (Rights of Third Parties) Act 1999 does not apply.

If any provision of these Terms is found invalid, the other provisions remain in force. Our failure to enforce a provision is not a waiver of it.
